Akiya CRM (hereinafter referred to as "the Platform," "we," "us," or "our") is a customer relationship management platform owned and operated by LabratsAI, a legally recognized entity. These Terms and Conditions (hereinafter referred to as "these Terms") constitute a legally binding agreement between you, the user (including but not limited to salespersons, supervisors, managers, and any other individual who accesses or uses the Platform), and LabratsAI.
By registering for, accessing, browsing, or using any part of the Akiya CRM Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Platform. These Terms apply exclusively to individual users and do not govern any separate agreements between LabratsAI and corporate entities unless explicitly stated otherwise.
2.1 Individual Account Ownership. Each account created on Akiya CRM is owned by the individual user who registers for the account. Regardless of employment status, organizational affiliation, or any other relationship with a third party, the account itself is personal to the user who created it and is not transferable to any other individual or entity without the express written consent of LabratsAI.
2.2 Account Security. The user is solely responsible for maintaining the confidentiality and security of their account credentials, including but not limited to their password, email address, and any other authentication information. The user agrees to accept full responsibility for all activities, actions, and omissions that occur under their account, whether authorized or unauthorized. In the event of any unauthorized use of the account or any other breach of security, the user agrees to notify LabratsAI immediately.
2.3 Ownership of Performance Data. All performance data generated, recorded, or associated with a user's account, including but not limited to sales metrics, activity logs, and achievement records, is considered the property of the individual user. This data is personal to the user and is not automatically transferred to any employer, organization, or third party without the user's explicit consent, except as required by law.
3.1 Subscription Model. Access to the Akiya CRM Platform is provided on a subscription basis. By signing up for a subscription, you agree to pay all applicable fees associated with the subscription tier you have selected. Subscription fees are recurring and will be billed in advance at the interval specified during your registration (e.g., monthly or annually) unless you cancel your subscription prior to the renewal date.
3.2 Price Modifications. LabratsAI reserves the right to modify, increase, or otherwise change the pricing and fees for subscriptions, add-ons, or any other paid features at any time. In the event of a price change affecting your current subscription, we will provide you with reasonable advance notice via the email address associated with your account. Your continued use of the Platform after the effective date of a price change constitutes your acceptance of the new fees.
3.3 Non-Payment and Suspension. If your payment method fails, or if any fees due are not paid in full by the applicable due date, we reserve the right, without liability to you, to suspend or deactivate your access to the Platform, including any or all of the features and data contained within your account. Suspension will not relieve you of your obligation to pay any accrued but unpaid fees. Accounts that remain unpaid for a prolonged period may be subject to permanent termination.
4.1 User-Owned Content. The user retains full ownership of all data, information, and content they input, upload, or otherwise submit to the Platform, including but not limited to lead information, sales notes, contact details, custom fields, and any other proprietary business information (collectively, "User Data"). LabratsAI does not claim any ownership rights over User Data.
4.2 Data Independence from Employment. User Data is inherently linked to the individual user account, not to the user's employer, company, or any other organization. In the event that a user ceases employment with, is terminated from, or otherwise leaves a company, organization, or entity that may have sponsored or facilitated their use of the Platform, the User Data remains exclusively with the individual user. The former employer or organization does not have any automatic right to access, retain, or transfer the User Data without the explicit, independent consent of the individual user. It is the responsibility of organizations to establish separate data-sharing agreements with their employees; these Terms do not create any such right.
5.1 Awarding of Badges. Akiya CRM utilizes a badge and performance recognition system designed to acknowledge user achievements, milestones, and high performance within the Platform. Badges are automatically or manually awarded based on objective performance criteria determined by LabratsAI. The criteria for awarding badges may be updated, modified, or replaced from time to time at our sole discretion.
5.2 Removal of Badges. LabratsAI reserves the right to revoke or remove badges from a user's account for any reason deemed appropriate. This includes, but is not limited to, extended periods of account inactivity (as defined by a lack of logins or data updates), a significant decline in performance metrics, violation of these Terms, or the discontinuation of the specific badge program.
5.3 Paid Badge Features. In the future, LabratsAI may introduce enhanced features, exclusive badges, premium recognition tools, or accelerated achievement paths that require an additional, separate payment. Such paid features will be clearly identified as such, and users will have the option to purchase them on an ad-hoc basis or as part of a higher-tier subscription. There is no guarantee that currently free features will remain free indefinitely.
6.1 Evolution of the Platform. Akiya CRM is a dynamic platform that may evolve over time. LabratsAI reserves the right to introduce new features, tools, services, or functionalities at any time without prior notice. These may include, but are not limited to, job boards, placement services, internal competitions, leaderboards, training modules, marketplace integrations, and third-party tool connections.
6.2 Paid Options for New Features. Any new feature, competition entry, or tool introduced to the Platform may be offered on a paid basis. Access to certain competitions, advanced tools, or premium job listings may require a separate fee, an upgraded subscription tier, or a one-time payment. Participation in any such feature is voluntary and subject to any additional terms and conditions provided at the time of introduction.
Your use of the Akiya CRM Platform is conditioned upon your compliance with all applicable laws, regulations, and these Terms. You agree not to engage in any of the following prohibited activities:
Violation of this Acceptable Use clause may result in immediate termination of your account, forfeiture of all associated data, and, where applicable, referral to relevant legal authorities.
8.1 No Warranties. The Akiya CRM Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, LabratsAI disclaims all warranties, whether express, implied, or statutory, including but not limited to any warranties of merchantability, fitness for a particular purpose, title, and non-infringement. LabratsAI does not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
8.2 Limitation of Liability. To the maximum extent permitted by applicable law, LabratsAI, including its owners, directors, employees, and affiliates, shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or in connection with your use of, or inability to use, the Platform. This limitation applies regardless of the legal theory (whether contract, tort, or otherwise) on which the claim is based.
8.3 Business Outcomes. LabratsAI is not responsible for the success or failure of your business, sales efforts, marketing campaigns, or any other outcomes resulting from your use of the Platform. You assume full responsibility for the decisions you make based on the data and tools provided within the Platform.
These Terms and any dispute arising out of or related to your use of the Akiya CRM Platform shall be governed by and construed in accordance with the laws of the Federal Democratic Republic of Ethiopia, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Ethiopia, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts.
AKIYA CRM is designed to support multiple user roles, including salespersons, supervisors, and managers. This section explains how data is collected, accessed, and controlled across these roles in compliance with the Personal Data Protection Proclamation No. 1321/2024.
10.1 Individual Data Ownership Principle. By default, all data entered into the platform is owned by the individual user account that created it, regardless of role. This includes leads and contact data, notes and follow-ups, and performance metrics. No other user (including supervisors or managers) automatically owns this data.
10.2 Data Access Within Organizations. When users are connected within the same organization, supervisors and managers MAY view performance metrics of assigned users, access leads and activities only if permission is granted or system-based visibility is enabled, and monitor productivity and engagement. However, they do NOT automatically own the data and cannot transfer or export data without authorization.
10.3 Salesperson Data Rights. Salespersons have the right to own and control their entered data, access, edit, or delete their data, and retain their data even if they leave an organization (unless otherwise agreed). This ensures fairness and protection of individual performance records.
10.4 Supervisor & Manager Responsibilities. Supervisors and managers must use data only for legitimate business purposes, respect user privacy and confidentiality, and avoid misuse, unauthorized extraction, or manipulation of user data. Violation of these responsibilities may result in account suspension or termination.
10.5 Organization-Level Data Agreements. AKIYA CRM does not automatically assign data ownership to organizations. If a company requires ownership of employee data, full access to team data, or data retention after employee exit, this must be defined through a separate agreement between the organization and the individual users.
10.6 Data Visibility Settings. The platform may include configurable access controls, such as role-based visibility (Sales → Supervisor → Manager), restricted or shared lead access, and team-based reporting dashboards. Users acknowledge that data visibility may vary depending on system configuration set by the platform or organization.
10.7 Data Transfer Between Roles. Data may be shared within the platform between salespersons and supervisors, and between supervisors and managers, ONLY within authorized system workflows and with proper access permissions. Unauthorized data transfer outside the platform is prohibited.
10.8 Account Termination & Data Retention. If a user leaves an organization, their data remains tied to their individual account and organizations do not automatically retain access, unless a prior agreement exists or it is required by law.
